Corporate Governance

The board of directors for Great Western Technologies Inc. (the "Company") is responsible to Great Western Minerals Group Ltd. (the "Parent Company") and is a full (100%) subsidiary of the Parent Company.

The board of directors (the "Board") of Great Western Minerals Group Ltd. (the "Parent Company") is elected by its shareholders to supervise the management of the business and affairs of the Company. In carrying out their duties in this regard, the directors are required to act in the best interests of the Company. The Board discharges this duty directly through its members (directors) and through various committees including the Audit Committee and Compensation Committee. The Board is in the process of developing a formal document, called "Statement of Corporate Governance Practices," which will be made public when finalized. Currently, disclosure of corporate governance practices is made in compliance with National Instrument 58-101 through the annual Management Information Circular and the Management Discussion and Analysis.

The Company and Parent Company endeavor to be industry leaders through adopting a "best practices" approach to corporate governance.
